Terms of Service

01Accounts

You must register an account to use the Service. You are responsible for keeping credentials secure, for everything done under your account, and for promptly notifying us of any unauthorized access. We may suspend an account that we reasonably believe is being misused.

02The Service

Subject to these Terms and your selected plan, Eigentic grants you a non-exclusive, non-transferable right to access and use the Service for your internal business purposes. We may release new features, modify existing ones, or deprecate functionality with reasonable notice.

The Service may include capabilities powered by large language models. Outputs may be inaccurate or unsuitable for a given purpose; you are responsible for evaluating them before relying on them in production-critical contexts.

03Fees & billing

• Subscriptions — billed in advance on a monthly or annual cadence via Stripe. Fees are non-refundable except where required by law.
• Plan changes — upgrades take effect immediately and are pro-rated; downgrades take effect at the next renewal.
• Taxes — fees are exclusive of VAT, GST, and similar taxes, which you are responsible for unless we are required to collect them.
• Late payment — we may suspend the Service after 14 days of non-payment.

04Acceptable use

You will not (and will not allow others to):

• Use the Service to violate law, infringe rights, or run unsafe automated decision-making in regulated contexts without appropriate human review
• Reverse-engineer, decompile, or attempt to extract source code or model weights
• Resell or sublicense the Service without our written consent
• Send malware, run network attacks, scrape at abusive rates, or circumvent rate limits
• Process special-category personal data (health, biometric, etc.) unless your DPA expressly permits it
• Use the Service to generate content that is illegal, defamatory, sexually explicit involving minors, or designed to harass

We may, at our discretion, throttle, suspend, or terminate access in response to a violation.

05Customer data & IP

Your data is yours. You retain all right, title, and interest in the data and content you submit to the Service (“Customer Data”). You grant Eigentic a limited, non-exclusive license to host, process, and transmit Customer Data solely as needed to provide the Service to you.

We do not use Customer Data to train models that serve other customers. Aggregated, fully de-identified telemetry may be used to operate, secure, and improve the Service.

You retain the workflow specifications and evaluation suites we build for you on engagement; the underlying agent runtime, libraries, and platform remain Eigentic's intellectual property.

06Third-party services

The Service integrates with third-party services (e.g. Stripe, Supabase, Google, Anthropic, OpenAI). Your use of those services is governed by their own terms, and Eigentic is not responsible for their acts or omissions.

07Confidentiality

Each party will protect the other's non-public information using at least the same standard of care it uses to protect its own confidential information (and in any event no less than reasonable care). Confidential information may be disclosed only to employees and contractors with a need to know who are bound by similar duties.

08Warranties & disclaimers

Eigentic warrants that the Service will perform materially in accordance with its documentation. Except as expressly set out in these Terms, the Service is provided “as is” without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI outputs will be accurate, complete, or suitable for your specific use case.

09Limitation of liability

To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each party's aggregate liability arising out of these Terms is capped at the fees you paid Eigentic in the 12 months preceding the claim. Nothing in this section limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot be limited under applicable law.

10Indemnity

You will defend and indemnify Eigentic against third-party claims arising from your Customer Data or your breach of Section 4 (Acceptable use). Eigentic will defend you against third-party claims that the unmodified Service infringes their intellectual property, subject to standard exclusions.

11Term & termination

These Terms apply for as long as you have an account. Either party may terminate for convenience at the end of the current billing period. Either party may terminate for material breach if the breach is not cured within 30 days of notice. On termination, your access to the Service ends; we will retain or delete Customer Data per our Privacy Policy.

12Changes to the Terms

We may update these Terms from time to time. Material changes will be posted here and emailed to account owners at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13Governing law & disputes

These Terms are governed by the laws of Norway, without regard to conflict-of-laws rules. Disputes will be resolved in the Oslo District Court (Oslo tingrett), unless mandatory consumer-protection law in your jurisdiction grants you other rights.

14Miscellaneous

If any provision is held unenforceable, the rest stays in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of substantially all assets. These Terms, together with the Privacy Policy and any DPA or order form, are the complete agreement between us.
